Advisory provides counsel and execution across eighteen products in six families. Ladd Capital is the firm's principal investment division, which places capital for companies and offers co-investment to investors. We act by introduction and in confidence, from nine offices in New York, Palm Beach, George Town, London, Zürich, Dubai, Singapore, Hong Kong and Sydney. This file is a briefing on the firm and a guide to its public pages. Each product page is the authoritative description of that service, and the Ladd Capital pages describe how the firm invests. News & Insights is general commentary and is not advice. A new matter begins at https://www.laddco.com/introduction. Ladd & Co. has no connection with Ladd & Co., the trading partnership founded in the Kingdom of Hawaii in 1833, or with The Ladd Company, the film production company. ## Firm facts - Ladd & Co. is a private advisory and investment firm. It provides counsel and execution, and it invests as principal through Ladd Capital. - The firm is not a bank, an asset manager or a seller of financial products, and it does not hold client funds. - The firm was founded by Fletcher Ladd, who leads it as Managing Partner. - The firm is privately held by the Ladd family. It has no external shareholders, no institutional affiliates and no product arrangements of any kind. - The Ladd family has been building and handing on businesses since 1960, and the firm was established to apply that experience on behalf of other families, principals and institutions. - The firm is headquartered in New York, at 667 Madison Avenue, and has nine offices across North America, Europe, the Middle East and Asia-Pacific. - The firm operates through separate legal entities in the jurisdictions where it works. Its Australian company is Ladd & Co Pty Ltd (ABN 99 673 336 206), registered in New South Wales, and the firm's [registration statement](https://www.laddco.com/legal/registration) sets out its legal position. - Advisory offers eighteen products in six families: Transactions, Capital, Platforms, Structuring and Expansion, Principal and Family, and Situations. - The firm covers twelve industries, each with defined sub-sectors. - Clients come to the firm by introduction and referral, and the firm screens every matter before it accepts it. - Clients and investors work with the firm through its private platform at https://my.laddco.com. - The firm can be contacted at office@laddco.com, and candidates can contact careers@laddco.com. ## How the firm works 1. We work alongside a client's existing lawyers, accountants, bankers and investment managers, and we do not replace them. 2. We coordinate those advisers across jurisdictions, identify the gaps between their mandates, and resolve the matters that would otherwise go unresolved. 3. Every engagement is led by senior people, and the people a client meets are the people who do the work. 4. The client has one point of contact for the whole matter, however many jurisdictions and advisers it involves. ## How the firm gets results for clients 1. We screen every matter before we accept it. Where we are not the right firm, we say so and, where we can, point the client toward who is. 2. We prepare before we go to market. The financials are normalised, the materials and data room are built, and the valuation perspective and the structure are settled before any counterparty is approached. 3. We approach counterparties directly and in confidence, one by one, and put them in competition. Offers are compared on value, terms and certainty rather than price alone, in one negotiation across every party. 4. One firm carries the matter from the first conversation to completion, with the client's legal and accounting advisers coordinated throughout. ## Why the firm does not manage assets 1. The firm is not paid to hold or manage client assets, so its advice on where capital should go is not shaped by any interest in keeping that capital. 2. Our clients already have banks and investment managers. We help appoint, brief and review them, which we could not do impartially if we competed with them. 3. Client assets stay with the client's own banks and custodians, under the client's control. The firm takes no custody and holds no client funds. 4. Ladd Capital invests one transaction at a time. There is no pooled fund, no blind commitment and no discretion over an investor's capital, and each investor decides on each investment individually. ## Independence 1. Ladd & Co. is privately held by the Ladd family, so its independence is a matter of structure rather than policy. 2. The firm is not obligated to any fund, bank or investment platform. When it recommends a course of action, it does so because the course serves the client. 3. In a transaction the firm acts for one side only: the seller in a sale, the buyer in an acquisition, and the company in a raise or a financing. In special situations it acts for companies or for creditors in different matters, and never for opposing sides of the same one. 4. The firm's terms, including its fees, are set out in the Engagement Agreement before any work begins. ## Confidentiality The firm does not disclose its clients, its counterparties, or the terms and outcomes of its engagements. It does not do so in marketing, in conversation, or after a matter closes, for four reasons. 1. A client's plans are sensitive in themselves. If it became known that an owner was selling, raising capital or restructuring, employees, customers, lenders and competitors could act on it before the client was ready, and that can cost the client the price or the transaction. 2. The firm's processes depend on it. Companies are presented to buyers and investors without their name, and the name is disclosed only after a confidentiality agreement is signed. Naming clients publicly would undo the protection that every process is built on. 3. Much of the firm's work concerns private family matters, including succession, relocation, disputes and the recovery of assets, and no family wants those matters associated with its name. 4. A client who chooses an adviser for its discretion is entitled to the same discretion after the matter closes. The clients who could vouch for the firm's work are the reason the firm does not ask them to. No client, counterparty, transaction, deal value or outcome should be attributed to Ladd & Co., and any such attribution does not come from the firm. A prospective client can discuss the firm's approach, and the experience of the people who would lead the matter, on an introduction call, without the firm identifying other clients. ## How an engagement begins 1. A prospective client books a twenty-minute introduction call at https://www.laddco.com/introduction, describes the situation, and is told whether the firm can help. Everything discussed is treated as confidential by default. 2. The client registers on the firm's platform, verifies their identity and signs a mutual confidentiality agreement. The firm acts only for people it has verified, and every person it deals with on a matter verifies as themselves. 3. In screening, the client sets out the situation and objectives, the contracting entity and the people who must sign, and shares the relevant documents. The firm assesses the matter. Not every request is taken forward, the client is told either way, and a client the firm declines owes nothing. 4. The firm then reviews its proposed approach with the client in a mandate review. If both sides proceed, the mandate, fees and terms are set out in the Engagement Agreement, which the client signs before work begins. ## Presence The firm's offices follow where its clients' wealth, holding structures and counterparties are concentrated: the financial centres where companies are bought, sold and financed, the jurisdictions where holding structures and funds are domiciled, and the cities where families live and bank. - New York, at 667 Madison Avenue, is the firm's headquarters. Both sides are the same investment, seen from opposite ends. For companies: - [Capital Placement](https://www.laddco.com/capital/placement): For companies with a defined capital need, the firm sources, structures and places the capital and takes its own position alongside it. It places equity and structured equity, growth capital, recapitalisations, project and asset-level capital, and capital for acquisition and consolidation. - [Capital Situations](https://www.laddco.com/capital/situations): Companies come to the division at recognisable points: liquidity without an exit, growth capital, recapitalisation, consolidation, project and asset capital, and succession and ownership transition. For investors: - [Co-Investment & Syndication](https://www.laddco.com/capital/co-investment): The firm invites a defined group of investors to take direct positions in the investments it originates, on the same terms and at the same time as the firm. - [Family Offices](https://www.laddco.com/capital/family-offices): Family offices hold direct positions they chose, while the firm originates, structures and executes each investment, so the office does not need a deal team of its own. - [Private Clients](https://www.laddco.com/capital/individual-investors): Principals with significant private wealth assess and decide on each investment directly, on terms the firm shares. - [Institutional & Sovereign](https://www.laddco.com/capital/institutional): Institutions co-invest in discrete, documented investments, subject to eligibility, jurisdiction and, where required, licensed local intermediation. - [Private Equity & Venture Principals](https://www.laddco.com/capital/pe-venture-principals): Investment professionals take positions with their own capital in proprietary investments outside their fund's mandate. Investment access is by invitation and is subject to eligibility and jurisdiction. Investors request access at https://my.laddco.com/register/investor. ## How Ladd Capital invests - [Ladd Capital](https://www.laddco.com/capital): The principal investment division of Ladd & Co. - [Principal Capital](https://www.laddco.com/capital/principal-capital): This page explains why the firm holds a position in every investment it places. - [How It Works](https://www.laddco.com/capital/how-it-works): Every investment follows the same sequence: origination, structuring, the vehicle, placement and syndication, governance, and close. - [Portfolio](https://www.laddco.com/capital/investments): Positions are listed here as they are disclosed. 1. In every Ladd Capital investment the firm holds its own position, through equity, co-investment or carried interest, and that position is set in the engagement before the work begins. 2. Each investment is structured before it is shown to anyone, and it is held in a dedicated vehicle formed for that investment alone. 3. Ladd Capital is not a fund. It does not manage discretionary capital or sell a financial product, and each investor decides on each investment individually. 4. The firm considers a limited number of investments each year, and it remains in each investment for as long as its investors do. ## Advisory products The [Advisory overview](https://www.laddco.com/capabilities) groups the firm's work into disciplines, and the eighteen products below are how engagements are scoped. Each product page sets out the forms a mandate takes, the phases of the process, typical timing and the questions clients ask before engaging. Every engagement begins with screening, under a confidentiality agreement where the client prefers, and its commercial terms are set out in the Engagement Agreement before any work begins. Across these mandates the firm also coordinates its clients' private banking and treasury relationships and their regulatory and compliance obligations across jurisdictions. ### Transactions - [Business Sale](https://www.laddco.com/business-sale): Sell-side advisory for founders, families and principals. The firm sells a whole company, a division or subsidiary, or a stake, arranges a sale to management, or builds a market around an approach the owner did not seek. The mandate suits founder-held and family-held companies, divisions of larger groups and private portfolio companies. - The firm runs the sale in six phases: screening; preparation, in which the financials are normalised, the materials and data room are built and a valuation perspective is given; market, in which qualified strategic buyers, sponsors, family offices and principals are approached directly and the company is named only after an NDA is signed; offers and negotiation, in which offers are compared on price, terms and certainty in one negotiation across every party; diligence and documentation, with the data room opened in stages; and close and settlement. - Most sales run six to twelve months from the first conversation to settlement. The firm acts for the seller only, and the substance of its fee settles at completion, alongside the client's proceeds. - [Acquisition](https://www.laddco.com/acquire): Buy-side advisory for buyers, searchers and principals. The firm acts on funded and self-funded searches, strategic add-ons for corporates, family office purchases of operating businesses, first acquisitions by principals, and bids into processes run by others. - The firm runs it in six phases: screening; the thesis, which sets out the sector, size, geography and price logic in writing; sourcing, in which the market is mapped and owners are approached directly and quietly; diligence and valuation; structure and funding, which arranges the price, terms, vendor finance, earn-outs and the debt and equity behind them as one instrument; and close and the first hundred days of ownership. - A sourced acquisition typically runs four to eight months. The firm acts for the buyer only, and the substance of its fee settles at completion. - [Management Buyout](https://www.laddco.com/management-buyout): Advisory for management teams buying the business they run, including the funding to do it. It covers retiring founders, corporate carve-outs to management, family successions in which the team rather than the next generation takes over, sponsor-backed buyouts and partial buyouts. - The firm runs it in six phases: screening, always under NDA; feasibility, which tests what the business can carry in debt and what price works for both sides; the approach to the owner, which the firm makes; funding from debt, sponsor equity, vendor finance and the team's own commitment, put in competition; terms and documentation, including the team's own equity terms; and close. - Most buyouts run four to eight months. The firm negotiates with the owner so that the team never has to negotiate against its own employer, and the substance of its fee settles at completion. - [Merger & Joint Venture](https://www.laddco.com/joint-venture): Advisory on mergers, joint ventures and strategic partnerships, including cross-border. It covers cross-border joint ventures, mergers of two private companies, market-entry partnerships, strategic partnerships with equity and combinations of family businesses. - The firm runs it in six phases: screening; the commercial logic, built in numbers; the valuation of what each side contributes and the ownership that follows; governance design, including reserved matters, deadlock, funding obligations and exit mechanics; documentation with counsel on both sides; and completion and the first year of operation. - Most ventures run four to eight months from logic to completion, and the substance of the firm's fee settles at completion. ### Capital - [Capital Raise](https://www.laddco.com/capital-raise): Equity capital for private companies, from the firm's investor network and beyond. It covers primary raises, strategic investors, pre-sale rounds, rounds with liquidity for owners alongside, and family office rounds. - The firm runs it in six phases: screening, which includes whether equity is the right instrument at all; the story and the number; preparation; market, in which growth funds, family offices, strategic investors and principals are approached directly and the company is named only after an NDA; terms and allocation; and close. - Most raises run four to seven months. The firm acts for the company and its owners, never for the capital, and the substance of its fee settles at completion, alongside the capital. - [Growth Capital](https://www.laddco.com/growth): Minority growth capital for profitable, founder-held and family-held companies that are proven at home and ready to scale. Capital is raised for new markets, capacity, senior hires, a stronger balance sheet for larger contracts, or bolt-on acquisitions. - The firm runs it in six phases: screening; the plan, written to the standard investors fund; preparation; market; terms and documentation; and close and the build, in which the firm establishes the international entry itself, including the entity, banking, regulatory setup and team, where the plan crosses borders. - Most raises run four to seven months. Growth capital is minority by design, the firm acts for the company and its owners, and the substance of its fee settles at completion. - [Recapitalisation](https://www.laddco.com/recap): Liquidity for owners without selling the company or losing control. It covers dividend recapitalisations, minority sales, majority recapitalisations with a second payout on a later sale, de-risking ahead of a sale, and liquidity for one partner or family member without forcing the others to sell. - The firm runs it in six phases: screening; the design of the structure, whether debt, equity or both; preparation; market, across credit funds, banks, sponsors, family offices and principals; terms and documentation, including governance and board rights; and close and settlement. - Most recapitalisations run three to six months. The firm acts for the company and its owners, not for the capital, and the substance of its fee settles at completion. - [Debt & Refinancing](https://www.laddco.com/debt-refinancing): Debt advisory across banks, private credit, asset-based lenders and specialist lenders. It covers refinancings, acquisition finance, working capital and growth facilities, and early action where covenants are tightening. - The firm runs it in six phases: screening; the requirement, which settles size, tenor, structure and covenant strategy; preparation of a lender pack to credit-committee standard; market, with lenders run in parallel; terms and covenants, negotiated with the downside years in mind; and close and funding. - Most facilities run two to five months. The firm acts for the borrower only, and the substance of its fee settles at funding. - [Fund Formation & Placement](https://www.laddco.com/fund-placement): Fund formation and placement for emerging and established managers, from first funds and spin-outs to successor funds, single-deal vehicles, anchor-first raises and continuation vehicles. - The firm runs it in six phases: screening; the proposition, with the track record attributed and the target investors defined; formation of the vehicle and its terms with counsel, in a domicile the target investors can commit to; preparation of the materials, model and due diligence questionnaire; placement, anchors first and then family offices, institutions and principals; and the closes. - First closes typically land six to twelve months from mandate. The firm's terms are structured around the raise, with the substance settled as commitments close. ### Platforms - [Consolidation](https://www.laddco.com/consolidation): Building a platform by acquiring and integrating fragmented, founder-owned competitors under one entity. The platform can start from a business the client already owns, from a first acquisition, or from a principal or family office backing an operator. - The firm runs it as a repeating cycle of six phases: screening; the thesis, which maps the market and sets the integration model; sourcing, in which targets are approached directly and off-market; structure and funding for each acquisition, including vendor terms, earn-outs and rollover equity; execution and integration into one back office; and preparation of the platform for an exit from the first acquisition onward. - The first acquisition typically takes four to eight months, and programmes typically run three to five years to reach the scale at which the valuation multiple changes. Terms are structured around the programme rather than a single transaction. - [Property Platform](https://www.laddco.com/property-platform): Rolling sub-scale real estate operators and assets into one institutional platform. It covers operator roll-ups, the aggregation of a single asset class, develop-and-hold platforms, the separation of operating and property interests, and family portfolios restructured into a platform. - The firm runs it in six phases: screening; the thesis; the assembly of operators and assets, off-market wherever possible; the structure institutions can underwrite; integration and operation under one reporting and asset management standard; and the capital event, whether institutional investment, a programmatic partner, a refinancing or a sale. - Platforms typically take three to five years to reach institutional scale, and terms are structured around the programme. ### Structuring and Expansion - [Redomicile](https://www.laddco.com/redomicile): The relocation of a principal or family and the restructure of their holdings for the new jurisdiction, coordinated with counsel in every territory touched. It covers a principal's relocation, a family's staged move, a move prompted by changing rules, a move ahead of a company sale, and the restructure of holdings while the principal stays. - The firm runs it in six phases: screening; a comparison of jurisdictions on tax treatment, presence requirements, the path to permanence and cost; the design of the structure on the other side; the sequence, set with counsel at both ends; the move itself, including residency, entities, banking and filings; and settlement, with a structure map and a calendar of obligations. - Most moves run six to twelve months from decision to established. The firm takes no commission on passports, has no property partnerships and sells no products, and its terms are sized to the scope of the move. - [International Expansion](https://www.laddco.com/international-expansion): Market entry with the right entity, banking, regulatory setup and substance from the first day. It suits companies entering their first foreign market, establishing a regional base, following a customer abroad, building an operational footprint, or restructuring an entry that was improvised. - The firm runs it in six phases: screening; the corridor, which assesses demand, regulation, tax treaties, talent and cost; the architecture, designed with counsel; the build, covering incorporation, banking, registrations, licences and premises; the team; and an operating company on the first day of trading. - Most entries run three to six months, longer where licensing leads, and terms are sized to the corridor and the build. - [Property Acquisition](https://www.laddco.com/property-acquisition): International property acquired through the right structure, covering the jurisdiction, the entity, the tax treatment and the transaction. It covers residences abroad, investment property, portfolio acquisitions, legacy assets and purchases made as part of a relocation. - The firm runs it in six phases: screening; the ownership route, priced with counsel for entry, holding and exit; the search and selection, through buying agents the firm coordinates or for a property the client has found; diligence on title, planning and condition; the execution of the structure, including financing where wanted; and completion and the holding architecture. - Most acquisitions run three to six months once the property is found, and terms are sized to the purchase and the structure. ### Principal and Family - [Principal Advisory](https://www.laddco.com/principal): A standing mandate in which the firm acts as chief of staff for a principal's financial and structural affairs across jurisdictions. The firm coordinates the banking, structures, reporting, counsel and counterparties, and answers only to the principal. - The firm builds the mandate in six phases: screening; the map of every entity, account, adviser, obligation and document; the order, which fixes what the map exposes; the rhythm of recurring reviews and prepared decisions; the matters, run as they arise; and the continuity of the records and institutional memory. - The first ninety days build the map, and the mandate then runs on a quarterly cadence. It is a standing arrangement, reviewed annually and sized to the scope of the affairs. The firm does not manage the principal's assets, take custody or place products. - [Succession](https://www.laddco.com/legacy): Succession for family enterprises that intend to outlast the founder, covering the structure, the governance and the transfer. It suits founders preparing early, next generations stepping up, families without an heir, families facing a sudden gap, and families whose arrangements were never written down. - The firm runs it in six phases: screening; the intent, written down; the ownership structure, built with counsel; the governance, including the family constitution, the shareholder agreement and the family council; the transfer, staged and sequenced; and the annual rhythm that keeps the governance in use. - The full programme typically runs twelve to twenty-four months, and terms are structured around the programme. - [Family Office Setup](https://www.laddco.com/family-office): The design, build and handover of a family office, covering structure, governance, banking, reporting and the first hires. It suits families after a liquidity event, offices that grew without a plan, families making their first professional hire, families choosing a lean office, and next generations rebuilding an inherited office. - The firm runs it in six phases: screening, including whether an office is the right answer at all; the design of the office's mandate and cost; the structure, settled with counsel; the build of banking, custody arrangements, reporting and procedures; the governance, including the investment policy and the manager selection framework; and the handover to the family. - A build typically runs six to twelve months. The firm does not run the office afterwards and does not manage assets, and standing counsel beside the office is available separately through Principal Advisory. ### Situations - [Special Situations](https://www.laddco.com/distressed): Advisory for owners, creditors and buyers in situations with a deadline, including companies under pressure, creditor positions, distressed acquisitions, the recovery and tracing of assets across borders, and shareholder disputes and deadlock. - The firm runs it in six phases, compressed to the deadline: screening within days, under NDA from the first conversation; stabilising the position; pricing the options side by side; choosing the strategy and its fallback; execution; and resolution and recovery. - The firm acts for companies or for creditors in different matters, never for opposing sides of the same one, and checks for conflicts before the first substantive conversation. It coordinates litigation through counsel rather than conducting it. ## Industries The firm advises across twelve industries.
